Intelsat Jackson Holdings S.A. Senior Notes Offering
On June 19, 2017, Intelsat S.A. (Intelsat) issued a press release announcing that its indirect wholly-owned subsidiary, Intelsat Jackson Holdings S.A., priced a private offering of $1.5 billion aggregate principal amount of Senior Notes due 2025 (the Notes), which are unsecured and will bear interest at a rate of 9.750% per annum. Furnished as Exhibit 99.1 and incorporated herein by reference is a copy of the press release announcing the pricing of the Notes.

Intelsat Announces Pricing of Senior Notes
Luxembourg, 19 June 2017
Intelsat S.A. (NYSE: I) (Intelsat), operator of the worlds first Globalized Network and leader in integrated satellite communications, today announced that its indirect wholly-owned subsidiary, Intelsat Jackson Holdings S.A. (Intelsat Jackson), has priced a private offering of $1.5 billion aggregate principal amount of Senior Notes due 2025 (the Notes). The Notes are unsecured and will bear interest at a rate of 9.750% per annum.
The net proceeds from the sale of the Notes are expected to be used by Intelsat Jackson, along with other available cash, to fund the redemption of all $1.5 billion aggregate principal amount of Intelsat Jacksons outstanding 7.25% Senior Notes due 2019 and to pay related fees and expenses.
The offering of the Notes is expected to close on July 5, 2017, subject to customary closing conditions.
The Notes referred to above will be offered and sold to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the Securities Act), and to persons outside the United States in accordance with Regulation S under the Securities Act and applicable exemptions from registration, prospectus or like requirements under the laws and regulations of the relevant jurisdictions outside the United States.
